Terms of Service
These Terms of Service govern your access to and use of Ounsia, the autonomous WhatsApp concierge for hospitality hosts operated by TO BE PROVIDED: registered company name (“Ounsia”, “we”, “us”). By creating an account or using the service, you agree to these terms.
Acceptance and eligibility
By signing up for, accessing, or using Ounsia, you confirm that you have read, understood, and agree to be bound by these Terms of Service and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the service.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you use Ounsia on behalf of a company or other legal entity, you represent that you are authorized to bind that entity, and “you” refers to that entity.
Ounsia is offered to accommodation hosts and operators (apartments, riads, villas, guesthouses, hotels). It is not intended for use by consumers acting outside a trade or business, except for guests who interact with the service only through WhatsApp and never hold an account.
What Ounsia is, and what it is not
Ounsia is an intermediary and translation tool. It is not a transport, delivery, food, medical, or other service provider, and it does not employ, control, or supervise the third parties it helps connect.
When a guest messages, the bot answers from data the host has entered and, where relevant, acts as an invisible translator and intermediary to relay a request to a local service (for example a taxi, a delivery rider, a restaurant, or a pharmacy listing). Ounsia transmits and translates messages between the parties.
Ounsia does not perform, fulfil, guarantee, supervise, insure, or take responsibility for any third-party service. The service is performed by the third-party provider and, where the provider was added by a host, under the host's responsibility (see Section 5 and the Third-Party Services Disclaimer).
Ounsia is a software service. We do not provide legal, tax, accommodation, transport, or emergency advice, and the bot's answers are generated from host-supplied data and automated processing, not professional advice.
Accounts and verification
To use the host dashboard you must create an account with accurate information and verify your email address and WhatsApp/phone number by one-time code. You are responsible for keeping your credentials confidential and for all activity under your account.
You must notify us promptly of any unauthorized use of your account. We may refuse, suspend, or cancel an account, or require re-verification, to protect the service, other users, or guests.
Guests do not hold accounts; they interact with the service solely over WhatsApp. Their use is governed by the Guest Data and Consent Notice and, to the extent applicable, by these terms.
Host responsibilities and content
As a host you are solely responsible for the data and content you enter, including property information, Wi-Fi and access details, house rules, frequently asked questions, media you upload, and the third-party service providers you add and recommend.
You represent and warrant that: (a) your content is accurate, lawful, and not misleading; (b) you have the right to upload it and to share any third-party contact details (such as a provider's phone number) with Ounsia and with your guests; and (c) your use of the service complies with applicable law, including data-protection, consumer, tourism, and tax rules that apply to you.
You retain ownership of your content. You grant Ounsia a worldwide, non-exclusive, royalty-free license to host, process, translate, and transmit your content solely to operate and provide the service to you and your guests.
You are fully responsible and liable for the private services you add and recommend through Ounsia. See the Host Agreement and Section 5.
Third-party services and the bridge model
Ounsia connects guests to third-party services through a “bridge”: the bot relays and translates a request between a guest and a provider, without giving out phone numbers directly. The provider is an independent third party.
Private services are added by a host. The host selects, vets, prices, and stands behind these providers; the host bears full responsibility and liability for them. For certain reference information (for example pharmacy or emergency listings), the operator may publish data for informational purposes only, with no relationship to or endorsement of the listed party.
Ounsia does not vet, endorse, certify, license, insure, or guarantee any third-party provider or the quality, safety, legality, timeliness, pricing, or outcome of any service. Any contract for a third-party service is formed directly between the guest and the provider (and, where relevant, the host); Ounsia is not a party to it.
Any dispute, loss, injury, damage, no-show, cancellation, overcharge, or accident arising from a third-party service is solely between the guest, the host, and the provider. To the maximum extent permitted by law, Ounsia and the operator are not liable for it. The Third-Party Services Disclaimer applies in full.
Tokens, billing, and payment
Use of the service consumes “tokens” (platform credit) per the pricing in effect. New host accounts receive a one-time welcome credit. You top up your balance by bank transfer, which we review and approve manually before crediting your account.
Token pricing, package sizes, and the credit-conversion rate may change; material changes will be communicated through the dashboard. Consumed tokens reflect services already rendered. Refunds, where available, are governed by the Billing and Refund Policy and by TO BE PROVIDED: token-credit refund policy specifics.
You are responsible for any taxes applicable to your purchases, except taxes on our net income. Invoices are issued per the Billing and Refund Policy. The applicable tax treatment is TO BE PROVIDED: applicable taxes / VAT treatment.
Acceptable use and the bot's operating rules
You agree not to misuse the service. You will not, and will not allow any guest or third party to: break the law; infringe others' rights; upload malware; attempt to gain unauthorized access; scrape, reverse-engineer, or overload the service; impersonate others; or use the service to harass, defraud, or harm any person.
The bot operates on safety rules including: answering only from verified host data rather than inventing answers; respecting per-guest controls (a host can pause, stop, or flag the bot for any guest); detecting and limiting abusive messages; and escalating to the host where appropriate.
- Do not use Ounsia to send unlawful, deceptive, hateful, or harassing content.
- Do not present Ounsia or its bot as a human, a licensed professional, or an emergency service.
- Do not use the service for any activity that endangers a guest's safety or that you are not lawfully entitled to perform.
- Do not circumvent rate limits, billing, abuse controls, or access controls.
We may investigate and take action, including removing content, limiting features, suspending the bot for a guest, or terminating accounts, for violations of these rules.
Intellectual property
Ounsia, including its software, design, models, prompts, documentation, and trademarks, is owned by the operator or its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to use the service, no rights are transferred to you.
You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the service, or remove proprietary notices, except as permitted by law or by us in writing.
Disclaimers and “as-is”
To the maximum extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation.
We do not warrant that the bot's automated answers, translations, or classifications are accurate, complete, or suitable for any purpose, or that any third-party service relayed through the bridge will be provided, safe, or satisfactory. AI processing can produce errors; you and your guests should not rely on it for decisions requiring professional, legal, medical, or emergency judgment.
Limitation of liability
To the maximum extent permitted by law, Ounsia, the operator, and their officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the service or any third-party service, even if advised of the possibility.
To the maximum extent permitted by law, our total aggregate liability for all claims relating to the service in any 12-month period will not exceed the amounts you paid us for the service in that period. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.
Ounsia is not liable for acts, omissions, conduct, quality, safety, pricing, no-show, or outcomes of any third-party provider, nor for disputes between guests, hosts, and providers.
Indemnification
You will defend, indemnify, and hold harmless Ounsia and the operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your content; (b) the third-party services you add or recommend; (c) your breach of these terms or of applicable law; or (d) your violation of any third party's rights, including data-protection and privacy rights of your guests and of the providers whose details you upload.
Suspension and termination
You may stop using the service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these terms, create risk or legal exposure for us or others, or fail to pay amounts due, or if required by law.
On termination, your right to use the service ends. Sections that by their nature should survive (including content responsibility, disclaimers, limitation of liability, indemnification, and governing law) survive termination.
Changes to the service and to these terms
We may modify, suspend, or discontinue features of the service at any time. We may also update these terms; material changes will be communicated through the dashboard or by email. Your continued use after changes take effect constitutes acceptance of the updated terms.
Governing law and dispute resolution
These terms are governed by TO BE PROVIDED: governing law & competent jurisdiction (dispute resolution), without regard to conflict-of-law rules. The competent courts of that jurisdiction will have exclusive jurisdiction over disputes, subject to any mandatory consumer-protection rules that apply to a guest.
